1. Agreement Overview

These Terms & Conditions ("Terms") form the legal agreement between Corewisecorp Partners Ltd ("Corewisecorp", "we", "us") and the business client ("Client", "Merchant", "you") commissioning services. By entering into an Order Form, Statement of Work (SOW), or paying an invoice, you accept and agree to be bound by these Terms.

2. Scope of Services

Corewisecorp provides integrated operational services for independent UK commerce operators, specifically:

  • Social Media Management & Local Footfall: Content curation, scheduling, paid micro-ad management, review acquisition, and monthly strategy reports.
  • Automated Invoicing & Bookkeeping: Integration of payment link rails (Apple Pay, Faster Payments), automated chasing sequences, and direct sync with Xero, QuickBooks, or FreeAgent.
  • Website Design & Headless E-commerce: Architecture, UI/UX design, sub-second headless code development, conversion rate optimization, and hosting uptime management.
  • Multi-Channel Stock Management: Hardware POS connection (Square, Clover, Zettle), warehouse catalog sync, and automatic supplier purchase order alerts.
  • 1-on-1 Growth Mentorship: Weekly or bi-weekly strategic consultations with an assigned Corewisecorp Senior Growth Advisor.

3. Fees, Currency & Late Payment Interest

All prices and quotations are stated in British Pounds (£ GBP) and are exclusive of Value Added Tax (VAT) where applicable.

  • Invoicing Cadence: Retainer subscriptions are billed monthly in advance via direct debit or automated bank card settlement.
  • Payment Terms: Invoices are payable within 14 calendar days of issue unless otherwise specified in the SOW.
  • Statutory Interest: We reserve the right to charge interest on late commercial payments in accordance with the UK Late Payment of Commercial Debts (Interest) Act 1998 at a rate of 8% per annum above the Bank of England base rate, alongside statutory debt recovery compensation.

4. Intellectual Property & Code Ownership

Upon full settlement of all corresponding fees:

  • Client Ownership: You retain complete ownership of your brand assets, photography, trademarks, customer lists, and custom website design files created specifically for your business.
  • Corewisecorp Core Stack: Corewisecorp retains all proprietary rights, copyright, and trade secrets in our reusable software libraries, automation scripts, and underlying infrastructure blueprints. Clients receive a perpetual, non-exclusive license to use the deployed operational code.

5. Service Level Commitments (SLAs)

We target 99.8% continuous uptime on all managed digital storefronts and sub-50ms deterministic inventory synchronization. Scheduled maintenance is performed outside of peak UK trading hours (01:00 AM to 05:00 AM GMT) with minimum 48-hour prior notification.

6. Limitation of Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation. Subject to this, Corewisecorp's total aggregate liability arising out of or in connection with our services shall not exceed the total fees paid by the Client in the preceding twelve (12) months. Neither party shall be liable for indirect, punitive, or consequential loss of profit.

7. Governing Law & Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, the laws of England and Wales. Both parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction.
